Licence and warranty agreement details

POLPRED Licence Agreement 
You have purchased a licence to use the POLPRED software.  The software, and all associated data sets, are owned by and remain the property of the National Oceanography Centre (the Licensor).  It is protected by international copyrights, and is transferred to the original purchaser (the Licensee) on the terms specified in the "Licence to use POLPRED".  A copy of this licence
agreement must be signed and returned to the National Oceanography Centre, Liverpool.


Licence to use the software 
The Licensee is licensed to use the software only for the purposes specified in the
“Licence to use POLPRED” document you will have been asked to sign on purchasing the software.  If the software is installed on a network or file server, the licensee must provide technical or procedural methods to ensure the software is not used by more than one user simultaneously (unless concurrent usage is purchased).


The Licensee will not copy or permit the software to be shared or copied, except for
reasonable security and backup purposes outside of the agreement for user numbers agreed in the licence. All copies of the software must remain under Licensee control. The licence may not be transferred to any other party. The software is sold for use over a specified area and for a specified time only.  This is enforced by the software (i.e. the software will not allow predictions to be made outside the licence). Title and copyright 
No title or rights of ownership, copyright or any other intellectual property in the software is transferred to the Licensee. The Licensee understands that the software contains proprietary information and agrees not to provide or otherwise make available any of the software and/or related documentation, for any reason, to any other company or organisation.


The Licensee agrees to indemnify the Licensor in respect of any losses or expenses
incurred by the Licensor as a result of the unauthorised use of the software by any
third party.


Licensee undertakings 
The Licensee undertakes to satisfy itself that the software meets the Licensee’s
needs. It is the sole responsibility of the Licensee to determine that the software
is ready for operational use before it is so used. The Licensee is responsible for using the program on their computer system, and for interpretation of the results produced by the program.


Life-endangering applications 
The software is designed for standard commercial use and is not intended to be used in life‐threatening environments or for potentially life‐threatening applications, including, but not limited to, environments or applications involving safety critical systems.  The Licensee undertakes not to use the software for any of these purposes and agrees to indemnify and hold the Licensor harmless from and against all liabilities and related costs arising out of
the use of the software for any of these purposes.


Warranty and liability 
The Licensor does not guarantee that the functions contained in the program will meet your requirements, or that the operation of the program will be either error free or appear precisely as described in any documentation about the program.


The Licensor reserves the right to make improvements, substitutions, modifications or enhancements to any part of the software.


No responsibility can be accepted by the National Oceanography Centre for any consequential loss or damage arising from any use that is made of the software, and output from the software, howsoever caused.


Restriction on the use of harmonic constants 
The harmonic constants available from this software cannot be used in any way except for visual comparison of the modelled harmonic constants to the observation derived constants.  This restriction also applies to reproducing the values in any printed report or literature.  If you wish to publish the harmonic constants used in POLPRED, or use them in any way external to POLPRED, contact the Marine Information Products and Services Team.


Demo licence 
If you are using a demo version of POLPRED, you are not permitted to use the results for any commercial activity.  The results generated by demo versions of the software may be considerably less accurate than the full version.
